These Terms and Conditions (“Terms”) govern your access to and use of the website, platform, and services (collectively, the “Services”) provided by Sentrion, Inc. (“Sentrion,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Agreement to Terms

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. When we do, we will update the “Last updated” date at the top of this page. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms.

2. Description of Services

Sentrion provides an AI-powered go-to-market (GTM) platform that leverages real-time company data to help users discover target accounts, detect buyer intent signals, enrich contacts, and automate personalized outreach at scale (the “Platform”).

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. Free Trial

We may offer a free trial of the Services (“Free Trial”). The Free Trial allows you to access and evaluate certain features of the Platform for a limited period at no charge.

Duration. The Free Trial period will be specified at the time of sign-up. We reserve the right to modify the duration of the Free Trial at our discretion.
Eligibility. Free Trials are available to new users only. We reserve the right to determine eligibility and to limit or deny Free Trial access at our sole discretion.
No payment required during trial. You will not be charged during the Free Trial period. No credit card or payment information is required to start a Free Trial unless otherwise stated at sign-up.
Conversion to paid plan. At the end of the Free Trial, your access to trial features will expire unless you subscribe to a paid plan. We will not automatically charge you unless you explicitly opt in to a paid subscription.
Data retention. If you do not convert to a paid plan, your trial data will be retained for up to twelve (12) months to allow you to reactivate. After this period, we may delete your data in accordance with our Privacy Policy.
Limitations. The Free Trial may include usage limits, feature restrictions, or other limitations compared to paid plans. These limitations will be described at sign-up or within the Platform.
“As is” basis. The Free Trial is provided “as is” without warranty of any kind. We make no guarantees regarding uptime, availability, or performance during the Free Trial.

4. Account Registration

To access certain features of the Services, you must create an account. When you register, you agree to:

Provide accurate, current, and complete registration information
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or incomplete, or if you violate these Terms.

5. Subscription Plans and Payments

Access to the Platform beyond the Free Trial requires a paid subscription. Subscription details, including pricing, billing cycles, and included features, are described on our Pricing page or as otherwise communicated to you at the time of purchase.

Billing. You agree to pay all fees associated with your selected subscription plan. Fees are billed in advance on a recurring basis (monthly or annually, as selected).
Payment processing. All payments are processed through Stripe. By providing payment information, you agree to Stripe’s Terms of Service.
Price changes. We may change subscription fees upon reasonable notice. Price changes will take effect at the start of the next billing cycle following the notice.
Taxes. All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for any applicable taxes.

6. Cancellation and Refunds

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at info@sentrion.ai. Cancellation will take effect at the end of the current billing period. You will retain access to the Services until the end of the period you have already paid for.
Refunds. Subscription fees are generally non-refundable. However, if you believe you are entitled to a refund, please contact us and we will review your request on a case-by-case basis.
Downgrade. If you downgrade your subscription plan, the change will take effect at the start of the next billing cycle.

7. Acceptable Use

You agree not to use the Services to:

Violate any applicable law, regulation, or third-party rights
Send unsolicited communications (spam) or engage in activities that violate anti-spam laws such as CAN-SPAM, GDPR, or CASL
Scrape, crawl, or otherwise extract data from the Platform except as expressly permitted by your subscription plan
Attempt to gain unauthorized access to the Services, other accounts, or our systems
Interfere with or disrupt the integrity or performance of the Services
Reverse engineer, decompile, or disassemble any part of the Services
Use the Services to build a competing product or service
Resell, sublicense, or redistribute access to the Services without our written consent
Use data obtained through the Services in a way that violates applicable data protection laws

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating access without notice.

8. Intellectual Property

The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and AI models), are owned by Sentrion or its licensors and are protected by intellectual property laws.

Our license to you. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
Your content. You retain ownership of any data or content you upload to the Services (“Your Content”). By uploading Your Content, you grant us a limited license to use, process, and store it solely to provide and improve the Services.
Feedback. If you provide us with suggestions, ideas, or feedback regarding the Services, you agree that we may use such feedback without restriction or compensation to you.

9. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

Data processing. To the extent we process personal data on your behalf, we will do so in accordance with applicable data protection laws and any separate data processing agreement between us.

10. AI-Generated Content and Outputs

The Services utilize artificial intelligence and machine learning to generate insights, recommendations, and other outputs (“AI Outputs”). You acknowledge and agree that:

AI Outputs are provided for informational purposes and should not be relied upon as the sole basis for business decisions
We do not guarantee the accuracy, completeness, or reliability of AI Outputs
You are responsible for independently verifying AI Outputs before taking action based on them
We are not liable for any decisions made or actions taken based on AI Outputs

11. Third-Party Services

The Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or availability of any third-party services. Your interactions with third-party services are governed by their own terms and policies.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the results obtained from the use of the Services will be accurate or reliable.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENTRION, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Sentrion and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) Your Content.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

Your right to use the Services will immediately cease
We may delete your account and all associated data after a reasonable retention period
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Sentrion regarding the Services.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure. We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
